By clicking “Place Order / Оплатить”, paying an invoice, or otherwise purchasing Products on the Site, the Buyer (any natural or legal person placing an order) fully accepts this Public Offer Agreement (“Agreement”) and enters into a legally binding sales contract with the Seller on the terms below.

2. Subject of the Offer2.1 The Seller undertakes to transfer title to the Products to the Buyer, and the Buyer undertakes to pay the indicated price and accept delivery, under the Bulk-Order Model.
2.2 Product descriptions, prices, pack sizes and minimum volumes published on the Site form an integral part of this Offer.
3. Offer Acceptance & Order Workflow3.1 The Buyer accepts the Offer when they:
  a) add Products to the cart and press “Place Order”, and
  b) pay via the Site’s payment gateway or other method offered.
3.2 An automatic e-mail confirming payment is the moment the contract is concluded.
3.3 If the Minimum Volume is not reached within the collection window shown on the Site, the Seller may:
  a) extend the window by up to 14 calendar days; or
  b) cancel the Order and refund 100 % of amounts paid within 3 business days.
4. Price & Payment4.1 Prices are shown in Russian roubles and include applicable VAT unless stated otherwise.
4.2 Payment methods: bank cards (Visa, MasterCard, MIR), SBP, or other options displayed.
4.3 Payment fees charged by the Buyer’s bank are borne by the Buyer.
5. Delivery & Transfer of Risk5.1 Delivery cities, time slots and tariffs are listed on the Site.
5.2 Risk of accidental loss passes to the Buyer upon hand-over to courier (for third-party delivery) or upon receipt at pickup point.
5.3 Perishable goods are delivered in temperature-controlled packaging; the Buyer must inspect goods on delivery and note any damage on the courier’s device/waybill.
6. Returns & Refunds6.1 Non-perishable Products may be returned within 14 calendar days of receipt if:
  a) factory packaging and consumer properties are intact; and
  b) return shipping is prepaid by the Buyer unless the return is due to Seller’s fault.
6.2 Perishable or temperature-sensitive Products may be refunded or exchanged only for quality or shelf-life defects confirmed by photo/video within 24 hours of delivery.
6.3 Refunds are credited to the same payment instrument within 3 business days after the Seller approves the return.

• 7. Buyer’s Rights & ObligationsProvide accurate contact, delivery and payment information.
• Pay for the Order in full and on time.
• Accept delivery or arrange authorised pickup.
• Refrain from reselling Products marked “Retail-only” without written consent.
• 8. Seller’s Rights & ObligationsFulfil paid Orders once Minimum Volume is met.
• Replace an unavailable SKU with an equivalent (price/quality) only with Buyer’s prior consent.
• Cancel Orders for force-majeure reasons (cl. 11) with full refund.
• Process personal data strictly under the Federal Law “On Personal Data” No 152-FZ; Privacy Policy posted on the Site.

9. Liability9.1 The Seller is liable only for direct damages up to the amount actually paid for the relevant Order.
9.2 The Seller is not liable for:
  • courier delays caused by extraordinary traffic or weather;
  • Buyer’s allergic reactions where ingredients were correctly disclosed;
  • indirect or consequential damages (lost profit, etc.).
10. Intellectual PropertyAll trademarks, photos, text and design on the Site belong to the Seller or its licensors and may not be used without written permission.
11. Force MajeureNeither Party is liable for failure to perform due to events beyond reasonable control (war, embargo, pandemic restrictions, acts of government, etc.). The affected Party shall notify the other within 3 days.
12. Governing Law & Dispute Resolution12.1 This Agreement is governed by the laws of the Russian Federation.
12.2 The Parties shall seek to resolve disputes via negotiation; failing that, claims are submitted to the Arbitration Court of the Seller’s region.
13. Term & Amendment13.1 The Offer is valid from the Effective Date until revoked by the Seller.
13.2 The Seller may amend the Offer; updated text is posted on the Site and applies to Orders placed after publication.
